These Terms of Service ("Terms") constitute a legally binding agreement between you, as an individual or the entity you represent ("User," "you," or "your"), and AI Bot Integration ("Company," "we," "us," or "our"). 3. User Responsibilities and Acceptable Use 3.1 You agree to use the Website and Services only for lawful purposes and in accordance with these Terms. 3.2 You shall not: a. Upload, post, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable. b. Intellectual Property Rights 4.1 The Website, Services, and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by AI Bot Integration, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. 4.2 These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal purposes, subject to these Terms. 4.3 You retain all rights in and to any data, content, or information you submit, post, or display on or through the Services ("User Content"). By submitting User Content, you grant AI Bot Integration a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, and display such User Content solely for the purpose of providing and improving the Services.
5. Disclaimer of Warranties 5.1 THE WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. 5.2 AI BOT INTEGRATION EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. 5.3 WE DO NOT WARRANT THAT THE WEBSITE OR SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. WE MAKE NO WARRANTY REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES, OR AS TO THE ACCURACY, RELIABILITY, COMPLETENESS, OR CURRENCY OF ANY INFORMATION PROVIDED THROUGH THE SERVICES.
6. Limitation of Liability 6.1 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AI BOT INTEGRATION, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE WEBSITE OR SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE WEBSITE OR SERVICES; (III) ANY CONTENT OBTAINED FROM THE WEBSITE OR SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. 6.2 OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).
7. Indemnification 7.1 You agree to defend, indemnify, and hold harmless AI Bot Integration, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Website or Services, including, but not limited to, your User Content, any use of the Website's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Website.
8. Termination 8.1 We may terminate or suspend your access to all or part of the Website and Services at any time, with or without cause, with or without notice, effective immediately, for any reason whatsoever, including without limitation if you breach these Terms. 8.2 Upon termination, your right to use the Website and Services will immediately cease. 8.3 Sections 4 (Intellectual Property Rights), 5 (Disclaimer of Warranties), 6 (Limitation of Liability), 7 (Indemnification), 9 (Governing Law and Dispute Resolution), and 11 (Miscellaneous Provisions) shall survive any termination of these Terms.
9. Governing Law and Dispute Resolution 9.1 These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. 9.2 Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware, and you hereby consent to the personal jurisdiction of such courts.
10. Changes to Terms 10.1 We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. 10.2 By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Website and Services.
11. Miscellaneous Provisions 11.1 Entire Agreement: These Terms constitute the entire agreement between you and AI Bot Integration regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral. 11.2 Waiver: No waiver by AI Bot Integration of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of AI Bot Integration to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. 11.3 Severability: If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect. 11.4 Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. We may freely assign or transfer these Terms without restriction.
